01Introduction
These Terms and Conditions (“Terms”) apply to your use of the Innovative Web Track website and to the services we provide, including web design and development, mobile apps, software, branding, digital marketing, SEO, PPC, quality assurance, website security, maintenance and white-label services.
By using this website or engaging our services, you agree to these Terms. If a signed proposal or agreement with you says something different, that document takes priority for that project.
02Our services
The scope, deliverables, timeline and price of each project are set out in a written proposal, quotation or statement of work. Anything not listed there is outside scope and may be charged separately after we agree it with you.
03Quotes & payments
- Quotes are valid for 30 days unless stated otherwise.
- Projects may require an advance payment before work starts, with the balance paid against milestones or before delivery or go-live.
- Monthly services (such as SEO, PPC management, maintenance or dedicated resources) are billed in advance each month.
- Invoices are payable within the period shown on the invoice. We may pause work on overdue accounts.
- Applicable taxes, including GST, are charged in addition to the quoted price.
- Advertising spend on platforms such as Google or Meta is separate from our management fees and is paid by the client.
04Your responsibilities
To deliver on time, we rely on you to provide content, images, brand assets, feedback, approvals and access to accounts or systems when needed. Delays in providing these may move timelines. You confirm that any material you give us is yours to use or properly licensed.
05Intellectual property
Once all fees for a project are paid in full, ownership of the final deliverables created specifically for you passes to you, unless agreed otherwise. Until then, we keep ownership.
Third-party items such as themes, plugins, fonts, stock images and software libraries remain subject to their own licences. We keep ownership of our own pre-existing tools, code and know-how, and grant you a licence to use them as part of your deliverables.
Unless you ask us not to, we may mention non-confidential projects in our portfolio. White-label projects are never shown.
06Confidentiality & white-label
We treat your business information as confidential and use it only to deliver our services. For white-label partners, we work under your brand, can sign an NDA before work starts, and do not contact your clients unless you ask us to.
07Results & third-party platforms
We plan every project around your goals and use proven methods, but we cannot guarantee specific rankings, traffic, leads, sales or advertising results, because these depend on factors outside our control, including search engine and platform algorithms, competition and market conditions. Case study figures reflect past projects and are not a promise of future results.
Services from third parties such as Google, Meta, domain registrars, hosting providers and payment gateways are governed by their own terms, and we are not responsible for their outages, policy changes or decisions.
08Support & warranty
After launch, we fix bugs in the work we delivered within the support period stated in your proposal. Changes made by you or other parties, new features, third-party updates and hosting issues are outside this warranty and can be covered through a maintenance plan.
09Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three months before the claim.
10Cancellation & termination
Either party may end an engagement with written notice as set out in the proposal, or 30 days’ notice for monthly services. You will pay for work completed and costs incurred up to the end date. Advance payments for work already done are non-refundable.
11Use of this website
The content on this website is for general information. You may not copy, reproduce or misuse it without our permission. We may update or change the website at any time.
12Governing law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh.
13Changes to these terms
We may update these Terms from time to time. The version on this page at the time you engage us applies to your project.
